Terms of use and general terms

As of November 2, 2026

1. Provider and scope

The provider is Logic Joe GmbH, Hans-Henny-Jahnn-Weg 53, 22085 Hamburg, Germany (Hamburg Local Court, HRB 116692), which operates the apollon brand. These terms are also our general terms and conditions. They apply to the Apollon platform (console at app.apollon.work, interfaces, agents) and to the management of ad accounts in full-service operation. Our offer is aimed at businesses within the meaning of Sec. 14 of the German Civil Code (BGB), not at consumers. The individual contract (offer and order) takes precedence over these terms. Deviating terms of the customer apply only if we agree to them in text form.

2. Service

We manage the ad accounts named in the individual contract: analysis, proposals, execution of approved changes, performance measurement and reports. The individual contract sets out channels, accounts, goal, market and budget. We owe a careful service, not a particular result. We make no promise on reach, clicks, requests, revenue or placements, nor that ad platforms will approve ads. The platforms themselves decide on delivery and policies. The platform is in pilot operation. Features are being developed and can change; individual features may not be available depending on channel, account or activation. Third-party data, for example competitor data from DataForSEO, are estimates and marked as such.

3. Visibility and approvals

In the console the customer sees campaigns, metrics, proposals and the action log of their account. We provide cost and performance data at least monthly. Changes to the account run through a process with check, approval, execution and log. New or changed ad copy and budget changes proposed by us or by an agent are approved by the customer, unless the individual contract provides otherwise. Our team approves the other changes within the scope of the order. The customer can hold any such proposal with a clarification question; while it is open, the proposal is not executed. Approvals are only given while signed in to the console or via the MCP interface, never via a link in an email.

4. Agents and their limits

Agents are software that uses language models, currently Claude by Anthropic. They analyse data and create proposals, drafts and reports. Their results can be wrong or incomplete. Without individual approval, agents in the default mode may only carry out small, reversible changes subject to fixed rules and minimum values: adding an observed search term without a conversion as an exact negative, pausing an ad without a conversion, provided the ad group still has an active ad afterwards, and setting negatives from an approved list. The customer can switch to a mode in which every change needs approval. The autopilot is only active after separate activation with daily and monthly caps. It can additionally pause campaigns, change daily budgets, activate objects created paused by agents and create ad groups without new ad copy in paused state. Agents can change existing bidding targets (target CPA, target ROAS) by at most 15% per conversion cycle given a reliable conversion signal. Ad copy proposed by an agent is never published automatically. Agents do not activate automatic application of Google recommendations, do not change payment profiles or billing data, do not manage users and access rights of the account and do not apply for policy exceptions.

5. Budgets, costs and fees

The customer bears advertising costs. Our fee follows the individual contract; it is not part of the advertising costs and is shown separately. When we state costs of an ad platform, we give the amount it charged, excluding our fees. The budget guard compares costs with the agreed monthly budget and raises an alert when the budget is about to be or has been reached. It does not pause any campaign automatically. While the monthly budget is reached, agent proposals that increase spend are not approved. The monthly budget is not a hard limit at the ad platform. Google Ads can spend up to twice the average daily budget on individual days and charges at most 30.4 times that budget per month. Ongoing costs also arise if the platform or a connection is disrupted.

6. Customer accounts and duties

The customer remains the owner of their advertising, analytics and business accounts. They can view and change them directly with the provider at any time and contact the provider directly. We give them their customer ID on request. The customer warrants that they may use the connected accounts and give us access to them, that their details are correct and that their offers, content and landing pages are lawful and comply with the ad platforms' policies. They check ad copy and budgets before approving them. For customer data that we upload to ad platforms on their behalf, they ensure the legal basis and necessary consents. They keep access credentials secret.

7. Availability and third-party services

We strive for trouble-free operation but do not promise any particular availability. The platform depends on interfaces and terms of third parties such as Google, Meta, LinkedIn, Microsoft, OpenAI and Anthropic. If they change or block their services, features can fail without us being able to influence this. The terms of these platforms additionally apply to their use.

8. Data

The privacy policy sets out which data we process, who receives it and how long we store it. Where we process personal data on behalf of the customer, we conclude a contract with them under Art. 28 GDPR. The customer agrees that our team may view the data of connected accounts where this is necessary for the commissioned service, and that data from connected ad accounts is transferred to the model provider of the agents. We do not sell customer data, and Apollon itself does not train generalised AI models with it.

9. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and where we have given a guarantee. For slight negligence we are liable only for breach of an essential contractual duty, meaning a duty whose fulfilment makes the contract possible in the first place and on which the customer may rely. Liability is then limited to the typical, foreseeable damage. Otherwise liability for slight negligence is excluded. This also applies to our staff and vicarious agents. We are not liable for the absence of an economic result or for decisions of ad platforms. This provision applies accordingly to advertising costs arising within an approval given by the customer or an activated cap.

10. Term and end

Term and notice periods are set out in the individual contract. The right to terminate for good cause remains unaffected. Independently of this, the customer can at any time demand in text form that we no longer manage an ad account. Within 3 business days we stop the agents for this account, no longer execute open proposals and disconnect it. The customer's duty to pay until the end of the contract remains unaffected. The customer can also remove the link themselves with the provider. Campaigns remain unchanged unless the customer instructs otherwise. After the departure is initiated we restrict processing. This phase lasts at least 30 days from the freeze or the end of the contract. During this time we enable an export of the available structured data, including the action log; this export does not contain media or decrypted form and buyer data. If the customer needs them, we agree on their release separately. No automatic deletion after the end of the contract is currently set up; we agree on deletion with the customer within the framework of the contract under Art. 28 GDPR and statutory duties. Retention duties remain unaffected.

11. Changes to these terms

We can change these terms if the platform, the legal situation or requirements of the ad platforms change. We notify the customer of changes in advance in text form. They apply to running contracts only if the customer agrees or the individual contract provides for this.

12. Law and jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes with merchants, legal entities under public law and special funds under public law is Hamburg. If a provision is invalid, the others remain valid. The German version of these terms prevails.
